Inspur International Limited Acquires Digital Media Department and Its Related Business from Inspur Group, Mother Company of Inspur International with a Consideration of RMB30,006,700

Inspur International Limited ("Inspur International")(SEHK: 596) announced that on 3 September 2009, it has entered into an assets and business transferred agreement with its mother company, Inspur Group Limited ("Inspur Group").

Inspur International shall pay the consideration of RMB30,006,700 (equivalent to about HK$34,050,000) to Inspur Group, to acquire the assets and business owned by the Digital Media Department of Inspur Group. Inspur Group also provides the profit guarantee.

If the actual profits of the acquisition of business for the year ended 31 December 2009 and 31 December 2010 are less than RMB 6 million and RMB 9 million respectively, Inspur Group shall refund to Inspur International an amount not less than RMB 20 million. It is expected that the completion of acquisition will take place on or before 15 September 2009.

We believe that the acquisition will enable Inspur International to have prompt entrance into the digital media industry and achieve a synergy effect with the existing business in other information technology industries of Inspur International, and further consolidate the leading position of Inspur International as a Chinese integrated IT services supplier."
